This extensive two-day seminar covers contract changes,
construction delays, and claim awareness. Attendees will be introduced to typical contract
clauses, requirements for notification, pricing contract changes, the impacts of
acceleration, liquidated damages, schedule submittals, and pricing contract delays.
Attendees will gain a better understanding of contract language addressing owners' and
contractors' rights and responsibilities, recognize potential areas of exposure to claims,
minimize exposure to claims through proper management, project controls, and contract
language, and mitigate damages and resolve disputes where claims are inevitable.
Course Outline
Contract Changes: The section
begins with a discussion of project organization and construction contracts. Topics
include determination of authority, typical change clauses, and requirements for
notification of changes. Examples are presented and discussed to illustrate typical
contract change situations. This section also addresses constructive changes, the impact
of changes on unchanged work, and pricing contract changes. Contract language enhancements
addressing owners' and contractors' rights and responsibilities are presented and
discussed throughout the seminar.
Construction Delays: This
section begins with a discussion of typical contract clauses regarding time and delays,
such as "time is of the essence," "contract time extension," and
"no damages for delay" clauses. Other discussion topics include time and delay
related contract clauses, time requirements, delay complexities, schedule requirements,
scheduling methods, and the relationship of scheduling to contract delays. Contract delays
and their relationship to contract changes are explored, along with acceleration,
liquidated damages, schedule submittals, and pricing contract delays. The contract delays
section concludes with a presentation on how delays are substantiated by using CPM
scheduling techniques.
Claim Awareness: This section
opens with a discussion of tort law and its relationship to construction claims. Topics
include control of the work, coordinating the work, interpretation of contract documents,
responsibility for safety on the work site, and project documentation required to support
a construction claim. Other topics include arbitration, litigation, and alternative
dispute resolutions. This section concludes with a discussion of typical dispute
resolution clause, and negotiation as an alternative to litigation or arbitration.
